  WHO:      Paula G. Rosput, president and chief executive officer, will
            hold her first shareholders meeting since becoming CEO in August
            2000.  Having just announced the company's 5th consecutive
            quarter of positive earnings, Rosput will tell shareholders
            about the company's turnaround that "comes from a deep resolve
            to pursue new, promising courses for the company."  She will
            also discuss how the company is "rewriting the book on how to
            run a gas company by finding new value in traditional assets."
